Members or stockholder classes and rights Part VI line 6 The organization has one class of membership and every member is entitled to one vote. They must abide by the by-laws and pay annual dues. Member election for additional members Part VI line 7a Elections are held every two years. Any member in good standing can nominate a member for office and a second is required. At the election, which follows one month after the posting of the nominees; the members vote by secret ballot. A simple majority determines the winners. Governing body decisions Part VI line 7b Amendments to the by-laws requires that the members accept the changes at three consecutive monthly meetings by a simple majority. Liquidation of the Organization requires meeting the mandated Commonwealth of Pennsylvania rules and regulations applying to exempt organizations regarding member consent. Form 990 governing body review Part VI line 11 The return is reviewed by the officers and directors prior to filing. Conflict of interest policy compliance Part VI line 12c The Conflict of Interest Disclosure Form is required to be completed by all individuals having a financial interest in the Organization, primarily the directors and officers of the club. The individuals who disclose a potential conflict are reviewed by the full board, which documents its conclusion. This process is performed annually. CEO executive director top management comp Part VI line 15a The board reviews and approves all officers and directors compensation. Pay is minimal. Other officer or key employee compensation Part VI line 15b All employees are paid the market rate ranging from $8.50 to $15.00 per hour.
