Part VI, lines 1a & 8b: The Executive Committee of the Board, comprising the Board President, Vice-President (when we have one), Treasurer, and secretary, is authorized to oversee the day-to-day business operation ns, with authority to decide expenses of $1,000 or less. The Executive Committee reports regularly to the rest of the Board on all material decisions but does not document its meetings contemporaneously. Previous independent accountant was terminated from handling the financial affairs and did not provide any documents and had not worked on the bookkeeping other than payroll in months. Another firm had to be brought it and complete reconciliations and complete an audit for their own records. During this process, the filing of the return was inadvertently overlooked until a Board member signed on to Secretary of State's website to renew registration.
