<ExplanationTxt>As a result of COVID-19 Pandemic, we were forced to shut down operations completely until mid-2021. While we applied for grants through COVID relief programs, we did not receive any until nearly the end of 2021. To keep afloat, we borrowed - with no interest payments - from friends of CPP. We began programs in earnest at the start of the fiscal year in a new space that we secured prior to COVID (November 2019) but couldn't use until July 2021. With the new space, as planned, we launched a multitude of new programs. Thus the amounts received in 2021 grants did not allow us to go without further loans during the fiscal year. As additional operation grants come in, along with program revenue, we expect to fully repay all loans (again, gratefully, without interest to the loaner).</ExplanationTxt>

<ExplanationTxt>As detailed in our letter of May 13, 2024, the substance of which is provided as follows: In response to attached correspondence, our organization acknowledges that it is currently deficient in filing tax returns and related reports for our 2021-2022 and 2022-2023 fiscal tax years. Our fiscal year ends on June 30 so our normal filing date is November 15 of each year. With respect to the July 1, 2021 to June 30, 2022 tax filing, in November of 2021 we had only been allowed to re-open after COVID (one of the last classes of businesses allowed to do so) for approximately 4 months. We were fortunate that the youth of our communities were chomping at the bit to get back into programs such as the ones we offered. We went from 2 years without any programs to full-speed ahead with multiple brand new programs all at once. We realized that we would need to take advantage of an Extension to file that would allow us until February 15, 2023 to file for 2021-2022. We earnestly intended to do that; however, in January, 2023, we were informed by our then landlords that we would need to vacate the building that we had used as our headquarters for over 20 years. We were effectively given less than 30 days to do so. This building was approximately 7000 sq ft and housed over 25 years of props, costumes, sets & set décor items, furnishings, archives, records and, of course, office equipment. Needless to say, this was an all-consuming and monumental endeavor to wrap our heads around and undertake while keeping our new programs afloat as well. As background, our company has always been a small but powerful force for the youth of our area. Unlike major non-profits like Boy Scouts, YMCA, Girl Scouts, and the like, we do not have departments and individualized personnel to manage each of the operational facets. We operate on a shoe-string to ensure that youth get the benefit of the money generated through the programs that benefit them. There are two principals who manage all of the myriad day-to-day operations from programs to facilities upkeep to operations, etc. The majority of our programs are self-contained with beginning and end dates - i.e., youth theatrical productions; accordingly, our "staffing" varies by program and are typically comprised of parents of participants who are utilized to perform tasks associated with the program itself; they do not generally extend to assisting with the non-program operating aspects of the organization. Once a program is finished, they also "move on" unless and until their child gets involved in another program. We (the two principals and whatever post-pandemic volunteers that would make themselves available) had to vacate the old headquarters building without the luxury of organized planning, packing, labeling, or knowing a place to go to and how to organize everything on the other end. We unfortunately had to purge a lot (of props, sets, costumes, etc.) and put what we could keep into temporary storage units as we determined where to re-establish our "headquarter offices". Our company never had the funding-over-program-needs to support a computer network and sophisticated offsite back-up. When the process of vacating was complete, we found that the computer with the accounting records was inoperable and we would have to recreate the information from hard records. Unfortunately, those hard records were scattered within the storage locations as a result of the move. We have been diligently working to locate the various records among the 25 plus years of papers randomly placed in storage by our move volunteers. To further add to the difficulty, our long term bank, Union Bank (UBOC), merged with USBank beginning around the time of the move. None of the records from UBOC are directly accessible through the online portals for USBank. Again, forcing us to go to hard statements, check copies, deposit copies, etc. to recreate the accounting information. We have been diligently working toward meticulously recreating the accounting data in order to complete the tax returns in question and continue to move forward. As indicated above, our organization has just two principals who, in addition to being heavily involved in the running of each program, become the jack-of-all-trades to get everything else done. It has taken time to cull through the records in order to re-create the accounting information required to complete these tax returns. All this while we continue to provide our services to the youth of the communities that we serve. On a positive note, in the two years since we were allowed to open up after the pandemic, we have successfully launched more new programs than in the preceding 10 years combined. We anticipate fully completing the missing tax returns by the middle to end of June, 2024 - with the tax returns for 2023-2024 following shortly behind. None of this is ideal, and we acknowledge that we have favored keeping our programs alive while we otherwise diligently work to recreate what was lost and catch up on filings. We hope that you take this account and show some leniency to our organization to allow us to get up to date without implementing fines and penalties that could diminish our ability to serve our youth even marginally. We are slightly later than our anticipated end of June filing. Once our forms for tax years 2021 and 2022 were completed, we went to file and realized that our Federal returns had to be filed electronically. We had to return to our paper records to determine that we had filed electronically for 2020 and what online service it was filed through. After technical difficulties, we are now filing. Please accept our sincerest apologies for the delays. We are a small non-profit that does big things for our community - but that sometimes stretches our resources thin at the best of times. As stated above, the past several years were not the best of times for many reasons. Going forward, we anticipate getting back to our over 20 year record of timely filings.</ExplanationTxt>
