Per the bylaws, all directors shall exercise good faith in their own duties to the Organization and will be held to a strict rule of honest dealing. The Board of Directors makes the final determination of whether a conflict exists and the appropriate actions to be taken. During the discussion, the affected board member is excused from the meeting and abstains in any related vote.
