Each customer receiving electric service from the cooperative is a member with a vote. Form 990, Part VI, Section A, Line 7a Cooperative members elect board members by mail ballot, by district, on a one member one vote basis. Board members are elected to four year terms. Form 990, Part VI, Section A, Line 7b Cooperative membership approval is required by mail or electronic ballot for all by-laws changes. Form 990, Part VI, Section B, Line 11b The Board of Directors, reviews the entire Form 990 and related schedules with the CEO and the Chief Financial Officer at a regularly scheduled board meeting, prior to its filing. Form 990, Part VI, Section B, Line 12c The Board of Directors, Officers and Departments Heads are required to complete a Form 990 questionnaire concerning their relationship to the Cooperative, including but not limited to inquires concerning family relations, compensation received, if any, and business related to the Cooperative. Form 990, Part VI, Section B, Line 15 The CEO's compensations is deliberated and approved by the Board of Directors, in conjunction with the Cooperative's legal counsel, Department heads and other salaried positions' compensation levels are determined by an independent study, taking into account several factors of performance which positively affects the interest of the Cooperative: job knowledge, leadership, organizational impact, work complexity, and communication skills. The study uses comparable data form other electric cooperatives, and was last completed in 2022. The CEO's compensation was last reviewed and increased in 2021 Form 990, Part VI, Section C, Line 19 All Board policies and financial statements are available for public review upon request. Additionally, a summary if the year end financial statements is published annually in the newsletter.
