Pt VI, Line 12c TAMI's Conflict of Interest policy states each officer and director of TAMI shall annually make a full written disclosure of: 1) any iterest or knowledge that he or she has interest in or a business with which TAMI contracts or contemplates contracting for goods or services, 2) any non-business personal relationship or knowledge that he or she has with any personal or business with which TAMI contracts or contemplates contracting for good or services, and 3) all gifts, including gratuitous services received from a person or business with whom TAMI contracts or contemplates contracting for goods or services that have a cumulative value in excess of $250 on an annual basis. Any statement of a conflict of ineterst is reviewed by the Board of Directors, with the Board determinig the appropriate action, which at a minimum shall be that the individual excuse him/herself from any deliberations regarding the personor business with whom TAMI does business or contemplates doing business. Pt VI, Line 15a The Board of Directors approved the compensation provided to the contracted Project Director. The Board is composed of independent directors with no conflicts of interest as defined by IRS regulations (i.e., none receive any economic benenfit of any kind from the Project Director's compensation agreement nor are in an employment relationship subject to the control of any person participating in the compensation agreement). The Board deetermined that the Project Director's compensation is well below compensation levels for similarly qualified persons in comparable positions at similar organizations.
