All persons expressing an interest in the purpose of the corporation may be elected to membership in the corporation by a majority of the board of trustees. The members of the corporation present at a duly called meeting shall constitute a quorum for conducting business. Each member of the corporation shall be entitled to one vote. All action called to vote shall be decided by majority vote of the members present and voting. Proxy votes will not be allowed. Form 990, Part VI, Section A, line 7a The Board of Trustees shall be elected by written ballot or electronic mail in the month of May. Members shall be elected for staggered three-year terms. Before the tenth of the month the Board of Trustees shall present a slate of nominees by mail to all members of the corporation with the requirement for return of the ballots to the Secretary of the corporation within 10 days of the mailing date. Nominations may also be made by petition signed by at least ten (10) percent of the corporation submitted to the Secretary of the corporation before the 5th of the month for inclusion with the slate of nominees distributed by the Board. Qualifications of the nominees for Board membership shall be included with the slate. Ballots shall indicate the number of members to be elected. The committee reviews Form 990 in detail and reports any questions or concerns to the Board of Trustees. The audit committee and the Board of Trustees work together to resolve any questions. In addition, the School utilizes the Fairchester survey as an additional reference for compensation levels. This information is presented to the Executive Committee of the Board of Trustees. The Executive Committee recommends compensation for the officer/employee to the Board of Trustees for their approval. The compensation decisions are communicated by the Board President in writing to the Business Manager who schedules the salary adjustments in payroll at the appropriate time.
