Form 990, Part VI, Section A, line 1a The Organization has an Executive Committee that meets on the months that the full board does not, on a bi-monthly basis. The Executive Committee is made up of the Board Chair, Past Chair, Vice Chair at Large, Vice Chair of Operations and Strategy, Vice Chair of Programs and Secretary/Treasurer. The Executive Committee has the following generalized responsibilities: -Be available to respond to issues requiring an immediate vote. -Conduct necessary research on issue related to said immediate vote so that an informed decision can be made. -Solicit recommendation of other board members in instances, when time allows. -Seek out experts in situations that require specific technical expertise. -Provide Staff feedback on ABI Foundation performance and established goals and benchmarks. -Oversight of Organizational Policies and Procedures, in accordance with Iowa Statues. -Document and report back to the full Board of Directors at the next official board meeting any decisions that were made via Executive Committee. -Fulfill the roles and obligations of the Executive Committee outlined in the current strategic planning documents. Form 990, Part VI, Section A, line 3 The organization has an agreement with Iowa Association of Business and Industry (ABI), an Iowa non-profit corporation, in which ABI will provide managerial and administrative services for the mutual benefit of both organizations. Form 990, Part VI, Section B, line 11b The Form 990 is prepared by an independent accounting firm, then a full draft is provided to the the organization's governing body for review and approval before it is filed. Form 990, Part VI, Section B, line 12c The organization's board members complete the conflict of interest form annually, these forms are reviewed to ensure compliance with the conflict of interest policy. If there is a disclosure rather than a recusal under the policy above, the chair of the board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board or committee shall determine whether or not the Foundation can obtain a more advantageous transaction or arrangement with reasonable efforts from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably attainable under circumstances that would not give rise to a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Foundations best interest and for its own benefit and whether the transaction is fair and reasonable to the Foundation and shall make its decision as to whether to enter into the transaction or arrangement in conformity with such determination. If the board or committee has reasonable cause to believe that an individual has failed to disclose actual or possible conflicts of interest (or has failed to avail him/herself of the opportunity to recuse him/herself from the discussion and vote), it shall inform the individual of the basis of such belief and afford the individual an opportunity to explain the alleged failure to disclose. If, after hearing the response of the individual and making such further investigation as may be warranted in the circumstances, the board or committee determines that the individual has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
