Form 990, Part VI, Section A, Line 4 The following changes were made and approved to the organization bylaws during the year ended 7/31/2024 Article III Membership-Item 3-Members have one vote per household. Article IV Officers-item 4-adds a faculty representative to serve as as liaison between the Exec. Board and Faculty of the Tustin Memorial Academy. Part V-item 2-Allows Board President voting rights, item 4-Adds requirement to distribute bylaws and conflict of interest statements and membership enrollment at regular meetings, item 5-Removes Co-Parliamentarian position, item 8-Removes Co-Assistant Treasurer/Accounts Payable position. Article VI-item 3-Two thirds of the Executive Board shall constitute a quorum for transaction of business in any special meeting., item 4-Allows electronic voting of the board. Article VII-item 1-Clarifies that the nominating committee shall be comprised of the Parliamentarian and four other officers and that the principal shall serve in an advisory capacity, item 3-Adds that the term of office shall not be more than two consecutive years, item 5-Adds that officers can be removed from office, with or without cause by a majority vote of those officers present at any meeting in which a quorum has been met. Article IX-item 1-All disbursements in excess of 500 of the budgeted amount shall require the approval of the Executive Board, item 5-All deposits and/or disbursements shall be made within a maximum of 14 days from the receipt of the funds and/or order of payment. Article X-Roberts Rules of Order shall govern meetings, when not in conflict with the bylaws. Article XI-Bylaws may be amended Form 990, Part VI, Section A, Line 4 continued from above at any meeting of the Organization in which a quorum has been met. Article XII-Conflict of Interest Policy has been added as Appendix A. Article XIII-the organization may be dissolved with at least 30 calendar days notice and a majority vote of the members at a general meeting in which a quorum has been met. Form 990, Part VI, Section B, Line 12C Conflict of Interest Policy Period reviews are conducted to dtermine whether or not there are Conflict of Interest issues within the Organization.
