The classes of membership are Active Staff, Affiliate Staff, Community Associate Staff, and Honorary/Medico-Administrative Staff. Form 990, Part VI, Section A, line 7a The Medical Staff Officers are elected by the medical staff membership or appointed by the Chief of Staff to any leadership or Chair positions they hold. Form 990, Part VI, Section A, line 7b Members of the staff may petition to remove or change governing board members. They may also vote to alter the bylaws. Form 990, Part VI, Section A, line 8b There are not any committees with broad authority to act on behalf of the Board. Form 990, Part VI, Section B, line 11b The Chief of Staff reviews a draft of the Form 990 before it is submitted to the IRS. Form 990, Part VI, Section B, line 12c The conflict-of-interest policy covers all Medical Staff members. Members must file a written statement to the MEC (Medical Executive Committee) describing any relationships that raise a conflict when they are appointed or reappointed as a member or renew clinical privileges. The MEC Secretary will provide each member with a copy of each leader's written disclosure. Medical Staff leaders shall abstain from voting on any issue in which they have an interest. Form 990, Part VI, Section B, line 15 For any officers that are or will be compensated, the MEC (Medical Executive Committee) reviews and approves officer compensation. The MEC utilizes comparability data to determine the reasonableness of compensation.
