The purpose of the organization was to be the membership organization for Black graduates of the Harvard Business School. From 1979 to 2020, the organization did not have a Board of Directors and was not actively maintained. Additionally, it did not obtain a 501(c)(3) designation or register as a charity in the State of New York. The organization did not actively seek contributions from donors. In 2020, graduates of the Harvard Business School obtained legal advice on how to improve governance and agreed to: prepare new By-laws, install a new Board of Directors and Officers, and create a new corporation which would be the new membership organization for African-American graduates of the Harvard Business School. The new membership organization is the Harvard Business School African-American Alumni Association, a Delaware non-profit corporation with EIN 87-3034148. Due to the payment system for membership collection and certain administrative costs, the National Black Alumni Association collected membership fees and paid administrative costs for the Harvard Business School African-American Alumni Association (EIN 87-3034148). The membership fees which were collected plus the transfer of $75,000 from the Harvard Business School African-American Alumni Association were used to pay for administrative costs. The Board of Directors and Treasurer of the Harvard Business School African-American Alumni Association oversee the affairs of both organizations and are in the process of finalizing membership payments to go directly to the Harvard Business School African-American Alumni Association. Once this is done the National Black Alumni Association of the Harvard Graduate School of Business Administration, Inc (EIN 06-1199599) will be wound down and closed. An extension of time to file was granted for a Form 990-EZ. The organization's records indicated revenues that would have allowed filing of the 990-EZ, however, upon account reconciliation the total was discovered to be $210,334. Consequently, a Form 990 is filed as required.
