Form 990, Part I, Line 1, Description of Organization Mission: The mission of the National Association of Educational Procurement (NAEP) is to advocate the development, exchange and practice of effective and ethical procurement principles and techniques within higher education and associated communities, through continuing education and networking. NAEP has eleven Regional Associations (Subordinate Organizations). The activities of all of Regions are included in the Annual Group Return. Form 990, Part VI, Section A, line 6 The organizations have members. Nonvoting membership is comprised of associate membership, individual members and business affiliates. Form 990, Part VI, Section A, line 7a Voting membership shall be limited to member institutions in accordance with the constitution of NAEP. Each voting member shall have one vote in the affairs of the Association, which shall be cast by the member's designated representative. The members shall take action by the affirmative vote of a majority of voting members present and entitled to vote, in person or by proxy, on the action except where a different vote is required by law, the certificate of incorporation or the bylaws. Directors and District Directors are elected by a plurality of the voting members present and entitled to vote, in person or by proxy, at a meeting at which a quorum is present unless the articles of incorporation have provided otherwise. Form 990, Part VI, Section A, line 7b The governing body has annual meetings, special meetings and at times quorum. During these meetings, the voting members that are present are entitled to cast a vote. Form 990, Part VI, Section B, line 11b The 990 is reviewed by the Director of Finance and CEO in detail. A reviewed draft 990 is made available to the Directors for review prior to filing. Form 990, Part VI, Section C, line 19 The governing documents, conflict of interest policy and financial statements are available upon request. Form 990, Part XII, Line 2a, Reviewed Financial Statements: The Regional Associations combined financial statements were reviewed by an independent accountant. The Regional Associations covered under the group ruling did not have their financial statements compiled, reviewed, or audited individually. Since the financial statements were reviewed on a combined basis, Line 2a was answered as "no" in accordance with the 990 instructions.
