If a conflict of interest is identified the board member with the conflict is asked to refrain from discussion and vote. At the beginning of each meeting, the agenda is reviewed and board members are asked if they have any conflicts - if so, they are excused from discussion and vote. There is also a compensation committee of the board that reviews a contract that outlines the compensation process.
