Members have no ownership interest but can vote on library issues and business. Member election for additional members Part VI line 7a A nominating committee of three members is appointed by the Board President annually at the September Board meeting. The committee shall report its nominations at the November meeting. Trustees are appointed on rotating basis by the Board at its annual meeting for a term of three years and shall be limited to two (2) consecutive terms. The Board will fill any unexpired term vacancies. The Board shall elect from their own number, a President, a Vice-President, a Secretary, and a Treasurer to serve a one (1) year term from January to December at the January Board meeting. Form 990 governing body review Part VI line 11 The 990 is available to all Board members and the public upon request. Conflict of interest policy compliance Part VI line 12c No member of the Board shall participate in any discussion or vote on any matter in which he/she, or a member of his/her immediate family, has a potential conflict of interest due to having material involvement regarding the matter being discussed. If conflicts arise, the person must announce his/her potential conflict, disqaulify himself/herself, and be excused from the meeting until discussion is over on the matter involved. The President is expected to make inquiry if such conflict appears to exist, and the person has not made it known. Members should avoid even the appearance of impropriety when conducting Libary business.
