The Board of Directors determines any bonus for all employees. Form 990, Part VI, Section A, line 6 ASDWA's members are the drinking water administrators in the 50 U.S. states, the District of Columbia, U.S. territories and the Navajo Nation. Form 990, Part VI, Section A, line 7a Each of the 10 U.S. Environmental Protection Agency regions elects one board member for a two year term. All members in good standing elect the Board Chair. Form 990, Part VI, Section A, line 8a During the year ended December 31, 2023 all board minutes were not contemporaneously approved though minutes were maintained for all board meetings. Form 990, Part VI, Section A, line 8b ASDWA has an executive committee. Separate, formal written minutes for meetings of the executive committee are not maintained as this committee does not hold meetings but rather informal discussions at various times during the year. Actions are documented within ASDWA's board minutes. Form 990, Part VI, Section B, line 11b The Federal Form 990 is reviewed by ASDWA's Executive Director. Such review takes place upon receipt of the draft Form 990 received from the independent public accounting firm who conducts ASDWA's financial statement audit and involves comparison of financial data in the Form 990 with the audited financial statements and review of all narrative information for accuracy and completeness. A copy of the 990 is also provided to the executive committee for review and a copy is available to any board member who wishes to see the full form. Form 990, Part VI, Section B, line 12c At the beginning of each calendar year, all ASDWA board members are asked to review and sign the conflict of interest policy. The Board is further asked, during their regular board meetings, to review any decisions that may pose a conflict of interest possibility and determine whether or not any conflict of interest exists. While signed forms were not obtained from all board members in 2023, no conflicts of interest were raised. Form 990, Part VI, Section B, line 15 The process for determining the compensation of ASDWA's Executive Director involves the Board's consideration of salaries for comparable positions in other nonprofit entities (per the ASAE survey), salaries for comparable positions in the Federal government, salary ranges for positions of ASDWA employees, cost of living data for the District of Columbia and performance reviews. The Board also reviews and approves the Executive Director's recommended salary increases for the other ASDWA employees.
