If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a cumulative probability assessment that aggregates the estimated tax liability for all uncertain tax positions. The Corporation has identified its tax status as a tax exempt entity as its only significant tax position however the Corporation has determined that such tax position doe snot result in an uncertainty requiring recognition. TDC has worked with hundreds of organizations, foundations and public agencies across the nonprofit sector in all parts of the country. TDC believes that the nonprofit sector plays a vital role in society, giving tangible support to some of our country's most cherished ideals and enhancing the quality of our lives. As one of the oldest providers of management consulting services to nonprofits, TDC possesses a strong track record in facilitating the successful implementation of challenging and highly complex planning and organizational change processes. Form 990, Part VI, Section B, Line 11b TDC's IRS Form 990 is prepared by the Director of Finance and Administration. After the Form 990 is completed, it is revised by the President, Treasurer and Chairperson and it is distributed to all members of the governing board prior to filing. Form 990, Part VI, Section B, Line 12c A Conflict of Interest policy was approved by the Board of Directors as of October 23, 2009 requiring all officers and directors of the organization to sign a disclosure form each year reporting any conflicts of interest. Directors and officers completed a disclosure form at the November 11, 2024 Board Meeting. Whenever a director or officer has a financial or personal interest in any matter coming before the Board of Directors, the affected person shall A) fully disclose the nature of the interest and B) withdraw from the discussion, lobbying and voting on the matter. Any transaction or vote involving a potential conflict of interest shall be approved only when a majority of disinterested directors determine that it is in the best interest of the corporation to do so. The minutes of the meeting at which such votes are taken shall record such disclosure. For purposes of this provision, the term "interest" shall include personal interest of any Director, Officer, Member, Stockholder, Partner, Manager, Trustee, or Beneficiary of any concern and have an immediate family member who holds such an interest in any concern. The Clerk reviews the conflict of interest disclosure to determine if any conflicts exist.
