Associate Members shall be any other person, firm, corporation, trust, or association having an interest in the purpose and objectives of the Institute.Design Partner Memebers shall be any person, firm, or corporation in the architectural or engineer industry. Member election for additional members Part VI line 7a Every member admitted by the Institute shall be duly notified to that effect by the Institute adn shall be enrolled by the executive director of the Institute and such membership shall be announced at the next regular meeting of the Institute and in its next official publication. Governing body decisions Part VI line 7b During meetings all decision are decided by a majority vote of those present and eligible to vote, unless otherwise required by the Institutes bylaws. Form 990 governing body review Part VI line 11 The 990 is presented during a meeting where the board reviews and approves the 990 prior to filing. Conflict of interest policy compliance Part VI line 12c The conflict of interest policy is read through at every meeting and is also included in the board packets. Once a year, the board members update their conflicts of interest statement. CEO executive director top management comp Part VI line 15a Compensation for the executive director is approved by the board of directors, who are all independent for compensation purposes. Comparable outside information is used when determining compensation and dicussion and deliberation is documented in the minutes.
