Pt VI, Line 3 Certain management duties for the Wellness Advocacy Fund are performed by White Oak Legacy, Inc. primarily with respect to finance, administration and tax. Pt VI, Line 6 There is one class of Members. The Board is a separate governing body elected by the Members. Pt VI, Line 7a The Members of the Corporation have the right and the duty to: fix the authorized number of Directors; elect the Directors of the Corporation upon any vacancies on the Board of Directors; appoint the Board Chair, who serves at the pleasure of the Members, from among the Directors they elect; and remove any or all of the Directors with or without cause. Pt VI, Line 7b The Members have the right to: set the mission and policy statement of the Corporation; approve any changes to the Corporations Certificate of Incorporation or the Bylaws; approve dissolution of the Corporation and the related distribution of assets, material sales of asset, mergers, consolidations, conversions, or domestications; and approve any other fundamental transactions of the Corporation.
