An estimated 50,000 guests attend the festival to show their support to the 300+ unpaid staff, 500+ youth volunteers, and countless community organizations who contribute their time and effort to make the festival successful. At the event, guests can experience the Vietnamese cultural village, an area where a rural or historic village in Vietnam is replaced including structures, exhibits, artwork, and volunteers dressed in cultural attire. Other programs at the event include cultural competitions such as the Miss Vietnam of Southern California pageant, children's traditional pageant, and talent contest, eating competitions featuring cultural foods, and cultural performances. The event further UVSA's mission to promote culture and also serves as a vehicle to develop 250 young leaders in event coordination. When the event performs well financially, UVSA allocates up to half of the proceeds to the Tet Community Assistance Fund. Through this grant opportunity, other non-profit organizations in Southern California can apply to receive funding to their programs. Each campus organization operates directly under the university from which they are founded and are self-governing. Each organization elects a representative who will sit on the Inter-Collegiate Council. Part VI, Line 11b A copy of this return was distributed to all members of the governing body prior to filing the form. Part VI, Line 12c UVSAs bylaws contains an article titled Transactions between UVSA and Directors or Officers which outlines requirements to authorized interested party transactions. Financial statements and other records are available upon request. Part VI, Line 6 UVSA membership is defined under three distinct branches of the organization. Members under the General Staff are the organization's volunteer staff who coordinate and manage UVSAs programs, projects, and general operations. Members under the Executive Board, or volunteer officers, manage UVSAs day-to-day internal and external affairs. Members under the Inter-Collegiate Council are representatives from member collegiate Vietnamese student organizations who manage inter-collegiate events and activities. Both General Staff and Inter-Collegiate Council Representatives elect the Executive Board officers every two years. All General Staff, Executive Board, and Inter-Collegiate Council members are volunteers. Part VI, Line 7a The governing body of UVSA is the Board of Directors. Two members from each branch of UVSA are ex-offico directors on the board. This includes the Administrative Coordinator, Development Coordinator from the General Staff, the President and Secretary from the Executive Board, and the Chair and Vice Chair from the Inter-Collegiate Council. These 6 directors elect 5 additional directors for a total of 11 directors. Part VI, Line 7b The Board of Directors may, by resolution, direct any decision that affects the organization to the General Staff, Executive Board, and Inter-Collegiate Council with a simple majority vote. Additionally, any amendments to the bylaws must be approved by two-thirds majority of both the General Staff and Inter-Collegiate Council. I am writing to request an extension for filing our Form 990 for the fiscal year June 2021 to May 2022. Unfortunately, we encountered an unforeseen and highly impactful situation that has significantly affected our ability to complete the filing within the prescribed timeframe. Regrettably, Nicholas Tang, a crucial member of our organization responsible for overseeing financial reporting and tax compliance, left the organization abruptly without providing any transition period or documentation. He played a vital role in maintaining our financial records and possessed unique knowledge crucial to the accurate completion of our Form 990. The sudden departure of Nicholas Tang has left us in a challenging position, as he was the primary individual with comprehensive knowledge of our financial systems, accounting practices, and compliance obligations. Despite our best efforts to reconstruct the necessary documentation and gather the required information, the complexity of his role and the lack of detailed documentation have hindered our progress. In light of these unforeseen circumstances, we kindly request that the delinquency fees for our organization be dropped. We understand the importance of timely filing and sincerely apologize for any inconvenience caused by this delay. We are actively working to identify and engage suitable replacement personnel and have implemented additional internal controls to prevent similar challenges in the future. We appreciate your understanding and consideration of our situation. Thank you for your attention to this matter, and we look forward to your understanding and cooperation.
