Form 990, Part VI, Section A, line 3 The Association has a management contract with HHRC LLC, an unrelated for-profit company. Darrell Heisler is an employee of HHRC LLC and provided services to the Association as Executive Director. The total contract amount paid to HHRC LLC during 2022-2023 FY was $73,125. An additional $1,250 was the amount paid out under the prior management contract. Form 990, Part VI, Section A, line 6 Membership shall be for those individuals with responsibilities for personnel administration and related functions in public, private, or post-secondary school systems. The 4 groups of memberships for the association are as follows: Active membership, retiree membership, lifetime membership, and associate membership. Form 990, Part VI, Section A, line 7a The Officers of the association, including the President, the President-elect, the Past president, the Secretary, and the Treasurer are elected to terms by majority vote of active members by ballot. Form 990, Part VI, Section A, line 7b Amendments to the Bylaws may be proposed in writing by a current member at a regular meeting or to the board. Members then vote on proposed amendments. Form 990, Part VI, Section A, line 8b Only the Board can act on its behalf. Form 990, Part VI, Section B, line 11b The Association's Executive Director and Board Treasurer will review the return before it is signed and filed. Form 990, Part VI, Section B, line 15 The Executive Director, Darrell Heisler, is compensated by an unrelated management company. Their compensation is determined by contract. It was agreed that the Executive Director would be compensated $70,000 per year for services rendered and additional expenses are eligible for reimbursement such as lodging and travel, and a cell phone allowance is granted. The Past President, Jane Stencel, received compensation for their services provided to the organization in the capacity of HELP and Professional Development Coordinator. The Board met with Jane in 2022 to discuss compensation for both capacities. Once discussed, Jane was required to leave the room and the remaining board members voted on the final compensation.
