All revenues and expenses of the program and events are recorded by the organization. The contract with Franklin Street Management is a fixed contract expense. The Board retains all fiscal responsibility for the organization. Members or stockholder classes and rights Part VI line 6 Members of the organization are adminnistrators of federal programs under the purview of the Elementary and Secondary Education Act at State Departments of Eduction. An unlimited number of members are permitted per state. Member election for additional members Part VI line 7a Elections occur each summer via electronic ballots. Officers are elected by all members and directors are elected by members from wihin their designated regions. Governing body decisions Part VI line 7b Board decisions are communicated to members electronically, on the members-only section of the website, and at semi-annual membership meetings. The membership votes to approve the annual budgetand any propposed changes to bylaws. Form 990 governing body review Part VI line 11 The annual Form 990 is reviewed by the organizations president and treasurer on behalf of the board. The return is accepted by the directors at a regularly scheduled board meeting, and posted on the members-only section of the website for member information. Conflict of interest policy compliance Part VI line 12c The organization regularly monitors and enforces compliance with the conflict of interest policy. Every board member, committee chairman, and key contractors is required to submit an annual written conflict of interest disclosure form. The board reviews these annually and addresses any potential conflicts individually. Any individual not complying with this requirement is removed from their position.
