The Minnesota State High School League is a voluntary association of Minnesota high schools whose governing boards have delegated their control of extracurricular activities to the Minnesota State High School League. Form 990, Part VI, Section A, Line 7a Member schools through regional representation can elect members of the MSHSL Board of Directors. The 22 member Board of Directors is responsible for the management of the affairs of the MSHSL. The MSHSL's Constitution directs the Board of Directors to divide the state into Regions and to have control of all Region and Section contests. The members of the Board of Directors are elected by the member schools of the local Regions, elected by the Executive Board of the respective Associations and 4 members are appointed by the Governor of Minnesota. Form 990, Part VI, Section B, Line 11b The Director of Finance reviews the Form 990 with the Finance Committee and the Executive Director in detail prior to filing with the IRS. The Board of Directors give final approval. Form 990, Part VI, Section B, Line 12c Any potential conflict of interest is reviewed and resolved by the Executive Director and Board of Directors. Form 990, Part VI, Section B, Line 15 The salaries of the staff are negotiated by the Executive Committee and determined by the Board of Directors.
