Minutes were not prepared. Form 990, Part VI, Section A, line 8b During 2021, the President handled most matters and did not require committees to meet. Form 990, Part VI, Section B, line 11b The Organization provides a copy of the Form 990 prior to filing at a scheduled board meeting. Form 990, Part VI, Section C, line 19 The Organization provides copies of its governing documents upon request. Dear Internal Revenue Service:The ZerNona Black Center Board of Directors is writing to request relief from the late filing penalties for failing to file the Organization's Form 990 on a timely basis for the tax year 2021.We understand the importance of timely tax filings and apologize for the delay. Unfortunately, our organization experienced significant leadership challenges during the past two years. In August 2023, our esteemed president, Mrs. Terry Womack Williams, who was a close friend to many board members, passed away unexpectedly. She had been ill through most of 2021 and 2022 but continued her work as president despite her illness. As Board President, she shouldered the major responsibilities (writing checks, keeping financial records, attending meetings speaking with community leaders, etc.) for the ZerNona Black Center Board. As members of the Board, we have learned that many of these duties went unfinished because she was too sick to complete many of them. Her death had a profound impact on our Board, which significantly disrupted our normal operations and caused delays in fulfilling essential admininstrative tasks, including tax filings. Futhermore, our vice president, Ms. Mary Walker, who would have assumed some of the presidential duties, fell ill in 2019 and remained unable to fully participate in Board activities for the following two years. This created a leadership vacuum at a critical time. Because Mrs. Williams' death had a profound impact on our Board and the illness of Ms. Walker, who had little training in what she was to do to be the vice president, we collectively entered a period of mourning and readjustment. Despite these challenges, the ZerNona Black Center Board remains committed to its mission of providing support to the San Antonio eastside community. We have recently restructured our board to be more effective and are actively working to catch up on all administrative tasks. The completed 2021 Form 990 is part of this package that has been electronically filed and the 2023 Form 990 is in process of being prepared (an extension for additional time to file has been filed). The 2022 Form 990 was previously filed on a timely basis. We kindly request your understanding and relief from the late filing penalties associated with the late filing of the Organization's 2021 Form 990.
