The process is as follows: The board of directors review and approve compensation arrangements for covered persons (covered persons meaning the executive director and employees of Kearah's Place). No member of the board of directors is in any affiliation to Kearah's Place but all members represent an outside entity that supports the organization (board poses no conflict of interest). The board of directors review salary and benefit compensation studies by independent sources, written job offers for positions at similar organizations, and information obtained from IRS 990 filings of similar organizations as comparability of compensation that is obtained in advance and relied upon by the board of directors. The board of directors rely on this data to review and approve compensation arrangements for covered persons. Kearah's Place maintains written or electronic records as concurrent documentation of the decisions with respect to compensation of covered persons. The documentation is as follows: a description of the compensation and benefits and the date it was approved; the members of the board who were present during the discussion about compensation and benefits, and results of the vote; a description of the comparability data relied upon and how the data was obtained; and any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on the compensation and benefits.
