The MSA states that in exchange for allowing UTS to use its online courses and help redesigning its website, UTS will pay the Spiritual Care Association, Inc. (1) during the first three years, 15% of the first $250,000 of gross revenues collected by UTS and 25% of gross revenues collected in excess of $250,000 and (2) commencing on the fourth anniversary of the agreement and every year thereafter 25% of the UTS gross revenues collected. The commissions payable to Spiritual Care Association, Inc. were $110,464 as of December 31, 2023. We changed the Year End from December 31 to June 30. We did file an extension, as we could not e-file until after December 31, and not until the software was updated for nonprofits that had their year begin in 2023.
