The organization also posts a nondiscrimination statement on its web site. Schedule E, Part I, Line 4 The Consortium does not solicit contributions. The Consortium generates revenue through tuition payments, housing payments, and College membership dues. Form 990, Part VI, Section A, line 4 The Bylaws were amended during the year. The changes include: Members are now added by a majority of the full Board of Directors, not just a majority of those present. Members are removed by a majority of the full Board of Directors. Quorum is clearly stated as a majority of Directors (previously it was a majority of those present). Specifies how decisions can be made without a meeting of the Board. Dissolving the corporation requires a vote of three quarters of the full Board of Directors at a special meeting of the Board held for such purpose. Form 990, Part VI, Section A, line 7a The members of the Board of Directors shall consist of one voting representative from each member college and university. Form 990, Part VI, Section A, line 7b The Board of Directors is empowered to provide for its own internal governance and establish any committees appropriate to pursuing the purpose of the LCWC. A majority vote of the member colleges shall be required to conduct business. Form 990, Part VI, Section B, line 11b The Form 990 is sent electronically to all members of the LCWC Board of Directors and discussed at the September board meeting prior to filing with the IRS. Form 990, Part VI, Section B, line 12c The members of the Board of Directors each sign the form annually at the spring meeting. Form 990, Part VI, Section B, line 15 The Executive Committee meets before each of the board meetings. At the spring meeting annual compensation is addressed and the Executive Director makes recommendations and the Executive Committee determines the salary increases. The recommendation is a percent increase that is approximately 3% and received across the board by the Executive Director and staff. Sometimes an additional merit increase for staff members is approved. Form 990, Part VI, Section C, line 19 LCWC makes its governing documents conflict of interest policy and financial statements available to the public upon request. Form 990, Part XII, Line 2c: The organization has a committee responsible for the oversight of the reviewed financial statements and selection of an independent accountant.
