While an audit is not conducted, questions are asked of the ERA staff in preparing the forms. Members or stockholder classes and rights Part VI line 6 Organization members are businesses who are independent sales firms of electronic components and products, participating electronics distributors and electronics manufacturers. The firms become members by paying annual dues. They are members as long, and only as long as they pay dues. There are no shareholders. Member election for additional members Part VI line 7a Members can join as long as they establish that they are in the business of electronics. Members elect the Board of Directors based upon their geographic area, and the Board, in turn, elects the officers. Governing body decisions Part VI line 7b Members vote on changes to the by-laws. They also vote to elect board members. Local chapters branches affiliates Part VI line 10a Local chapters are independent organizations with their own officers and board of directors. they file their own tax forms and are financially independent. They are required to maintain by-laws consistent with the nationalorganization. In some cases, at the request of the local chapters, the national organization has performed some administrative functions such as billing and collecting their annual dues. Reasonable fees are charged to the chapters for this service. Form 990 governing body review Part VI line 11 A review is conducted by the Chief Financial officer and the CEO. A review is not conducted by the entire executive committee. CEO executive director top management comp Part VI line 15a The executive committee and the board of directors are not paid and are not employees of ERA, but they may be reimbursed for travel expenses. The executive committee determines the pay of the CEO. While the CEO is a member of the executive committee, he does not have a vote, and is excluded from any conference regarding his pay. The pay of other positions is determined by the CEO.
