The Executive Committee shall have the authority to make all decisions and take all actions on behalf of the organization and exercise all of the organization's powers arising in connection with its status as the sole member of the RI Foundation. The Executive Committee shall be responsible for submitting the names of representatives to serve on the board of directors of the RI Foundation to the Governing Assembly for its approval. In the interim between regularly scheduled annual meetings of the Governing Assembly, the Executive Committee shall designate representatives to fill vacancies or newly created directorships on the board of directors of the RI Foundation, which designees shall not require the approval of the Governing Assembly and shall hold office until the next regularly scheduled annual meeting of the Governing Assembly. The Executive Committee shall have powers to make by-laws for regulating the conduct and affairs of the organization provided that the same is not inconsistent with the provisions of the Constitution and the responsibilities specifically reserved to the Governing Assembly.
