Kennedy Pond Conservancy LLC EIN 93-3947625 Explanation for Late Filing of Form 990 To Whom It May Concern, We are writing to explain the circumstances that led to the late filing of our Form 990 for the fiscal year ending December 31, 2023. Due unforeseen and extraordinary circumstances, we were unable to submit the form by the required deadline. We worked through our initial filing with the State of Georgia as well as with the IRS 1023 filing. Kennedy Pond Conservancy Inc. purchased Kennedy Pond on December 19, 2023. Specifically, we are a new organization staffed completely by volunteers and have had a very steep learning curve and organizational development effort. We have sought to accurately complete all reporting and have experienced accounting challenges. Compiling large donor information and the details of the purchase of Kennedy created several delays. Further, attempting to meet the June 15, 2024 filing deadline with the electronic filing requirement has created significant hurdles in the filing process. These events severely impacted our ability to gather the necessary information and complete the form in a timely manner. Despite these challenges, we have now completed and are attempting to submit the form as quickly as possible. We are also implementing new procedures to ensure that future filings will be completed on time, including using reminder systems, and improving internal processes. We respectfully request that any penalties for the late filing be waived given the extraordinary circumstances and our proactive steps to prevent future delays.
