Our activities include Educational Activities, Leadership Development, and Kidney Health Awareness. As illustrated above and in Part III of the 990EZ, our program service activities are critical and directly benefit the general public on a continuing basis. Additionally, the Foundation is organized and operated to attract new and additional public support on a continuous basis. Funding for the Foundation is primarily obtained through various contributions and related investment incomes by the general public, although the contributions received vary from year to year. Finally, the governing body represents the broad interest of the public, with no one individual or group of individuals having undue control or influence over the organization's funding or affairs. Each board member brings important skill sets, specialized knowledge, qualifications and expertise that help the organization plan and achieve its strategic objectives. Therefore, The Foundation qualifies as a publicly supported organization under the facts and circumstances test set forth in Treas. Reg. 1.170A-9(f)(3). The public support exceeded the 10 percent threshold for public charities. Furthermore, the sources of support, governing body and programs it conducts all demonstrate sufficient public support to meet the facts and circumstances test. The name of this Corporation shall be the RPA Research and Education Foundation doing business as the RPA Dale Singer Leadership and Education Foundation. ARTICLE IV SECTION 2. Number, Tenure and Qualifications. The number of Directors shall be not less than seven (7) nor more than thirteen (13). Directors shall serve for terms of two years, renewable for a maximum of four (4) years of consecutive Board service. ARTICLE V SECTION 2. President. The President shall be the Immediate Past President of the RPA SECTION 4. Ex-officio Members. The RPA individual who is incumbent in the Corporation Executive Director and RPA President shall automatically be an ex-officio member of the Board of Directors with full voting privileges. There shall be no term limitations attached to the Executive Director Board position. The RPA Legal Counsel will be an ex-officio member of the Board of Directors without voting privileges.
