Form 990, Part VI, Section B, line 12c All Northeastern Mental Health Center Foundation board members will complete annually a "Board Member Conflict of Interest Disclosure Form". No member of the Board of Directors shall participate in any discussion or vote on any matter in which he or she or a member of his or her immediate family has potential conflict of interest due to having material economic involvement regarding the matter being discussed. When such a situation presents itself, the director must announce his or her potential conflict, disqualify himself or herself, and be excused from the meeting until discussion is over on the matter involved. The President of the meeting is expected to make inquiry if such conflict appears to exist and the board member has not made it known. Form 990, Part VI, Section B, line 15 The Board of Directors operates as the top management official. The directors are not compensated for their services to the Foundation. Financial transactions resulting from the Foundation Board's decisions are transacted by the Finance Director of Northeastern Mental Health Center (NEMHC), the Foundation's supported organization. The Finance Director's compensation is determined and paid entirely by NEMHC. The factors considered and the process used by NEMHC's CEO for determining the Finance Director's compensation are as follows: - The mission of NEMHC, its responsibilities on behalf of its members, and the role of the Finance Director in carrying out that mission and those responsibilities. - Comparability of compensation received by Finance Directors of similar state-level health and social service trade or professional associations in South Dakota, community behavioral health trade or professional associations in surrounding states, - Performance goals for the Finance Director set by the CEO overall and for any particular year, and - The capacity of the NEMHC budget and expected revenues to support a particular compensation level. Procedures - On or before the anniversary date of the Finance Director, the CEO completes the Finance Director's performance evaluation. In addition to the compensation factors described in the philosophy above, the recommendation for an increase in any particular year shall take into account cost-of-living and the financial condition of NEMHC. In general, total compensation shall not exceed that indicated by responsibility, performance, comparability standards, and cost-of-living but it may be less than would otherwise be indicated because of the financial condition of NEMHC and its budget.
