Form 990, Part VI, Section A, line 6 The Retreat Center has five members: the Provincial Superior of Holy Cross Province, the Congregation of the Passion, and his duly elected Passionist consultors. These members are the Board of Trustees. The Board of Trustees is not listed in Part VII, as the day-to-day governance of the Retreat Center is entrusted to the Board of Directors. The five-member Board of Trustees made up of Passionist priests, can overrule a Board decision and, in extreme cases, can even remove the entire Board. Form 990, Part VI, Section A, line 7a The Board of Directors is self-perpetuating. However, the Board of Trustees also has the power to appoint directors. Form 990, Part VI, Section A, line 7b The Board of Trustees has the following reserved powers: 1. Any change in the purpose of the organization; 2. Creation of related or affiliated organizations or affiliation by the organization with one or more entities; 3. Any contract, amendment or any contract, lease as lessee, or acquisition of any asset which involves an obligation, on the part of the organization, over 5% of the annual budget, except for transactions specified and previously approved in the budget; 4. Any sale, exchange, gift, mortgage, option, or other disposition of any real property or interest therein owned by the organization and any other assets owned by the organization with a value over $10,000, except for transactions specified and previously approved in the budget; 5. Dissolution or liquidation of the organization and disposition of the assets of the organization upon dissolution or liquidation; and 11. Appointment of a voting member of the Board of Directors. Form 990, Part VI, Section B, line 12c Officers, directors, employees, or committee members must disclose any financial interest with any entity conducting transactions with Holy Name Passionist Retreat Center. To this effect, board members and staff must complete a conflict-or-interest questionnaire annually or when circumstances warrant it. When necessary, the Board will determine whether financial interest exists and will spend reasonable efforts to pursue transactions with a person or entity that will not produce a conflict of interest. If no alternative transaction is found, the Board will determine, by majority vote, whether the transaction is fair and reasonable. If the Board has reason to believe that an individual failed to disclose an actual or potential conflict of interest, the Board will take corrective action.
