Part VI, Line 12c The Conflict-of-Interest Policy of the Cornerstone Community Development Corporation, Inc. is written to: 1. Define what constitutes a conflict of interest; 2. Identify the individuals within our organization covered by the conflict-of-interest policy; 3. Provide a means for the individuals to disclose information that help identify conflicts of interest; and 4. Outline the procedures to be followed in managing conflicts of interest. Once a year our Board makes sure of the following for each of our Board members: 1. Has received a copy of the conflict-on-interest policy; 2. Has read and understands the policy; 3. Has agreed to comply with the policy; and 4. Understands that the organization is charitable and that in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish on or more of its exempt purposes and not engage in activities and transactions that provide impermissible benefits to individuals or entities. In addition, we require the Board members to do the following: 1. Certify that he or she has no actual or possible conflict of interest to report; and 2. Describe any relationships, transactions, or others circumstances, including those of family members, that could result in a conflict between the organization's interests and his or her personal financial or other interests. Part VI, Line 19 The governing documents, conflict of interest policy and financial statements are available to the public during the tax year in our offices at 1819 Martin Luther King Jr Blvd., Dallas, TX 75215. Part VI, Line 1a There were 11 members of our governing Board. However, there are no material differences in voting rites among members of the governing board. The return for the Cornerstone Community Development Corporation, Inc. was late because we filed for and was granted an extension. However, although we file the return before the extension had expired, we file a paper copy and was unaware that the return had to be filed electronically. We are now aware of this process and have put in controls to make sure that this is not repeated in the future.
