Thornton were the founders of Why Not Win Institute, Inc. Ms. Fluker worked as the Executive Director and Mr. Thornton was Chair of the Board Form 990, Part VI, Section B, Line 11b A copy of the 990 draft will be presented by email to each member of the board for review prior to filing the return. A reply email will be required that they did review the return and are encouraged to include their questions at the same time. Form 990, Part VI, Section B, Line 15 The Executive Director's compensation is proposed during the budgeting process and voted on at the directors meeting at which time the budget is reviewed. If there is agreement the budget is approved and the Executive Director is informed of the boards decision. A survey of salaries of ED's in the southeastern United States was used to establish a range of salary based on total revenue of the organization. Form 990, Part VI, Section C, Line 19 Documents were available upon request. Form 990, Part XI, Line 9 Adjustment was reflected on Part IX line 8 of the 12/31/2022 tax return without explanation. Management and accountants working with the organization at this time have been dismissed and are ghosting our emails and calls regarding an explanation. The management and accounting firm working with the organization all of 2023 were dismissed early 2024 after receiving levy notices from the IRS and not reporting them to the any of the board of directors. Cash was depleted at the end of the period but grant requests were not being completed in a timely manner which resulted in the nonpayment of payroll taxes for 2023 and not filing the 2019 form 990. These actions cost the organization over $6,000 in interest and penalties. A retired public accountant is now working at a below market rate to help WNWI get accounting records accurate for the preparation of W-2's, 1099's and the 2024 form 990 return. The board of directors will be interviewing accountants to prepare audits going forward.
