Form 990, Part VI, Section C, Line 19 Form 990, Part VI, Section C, Line 19 - Any Citizen can obtain copies of any Mendocino County Public Facilities Corporation Documents via Public Records Act Requests To Whom It May Concern, This letter is to provide a reasonable cause for not filing the 2022 Mendocino County Public Facilities Corporation (MCPFC) Form 990, due November 15, 2023. On November 13, 2023 Form 8868 was filed requesting an extension of time to file the 2022 MCPFC Form 990 as more time was needed to address recent changes related to the MCPFC and the County's Facility Lease. Further, there were major changes in staffing that caused the failure to file timely. In October of 2023 the Board of Supervisors suspended the County's Auditor-Controller without notice. The Auditor-Controller was heavily involved in the Facility Lease between the County and MCPFC. New debt was issued by the County which resulted in multiple complex transactions that required a number of staff to determine which transactions were related to the County and MCPFC Facility lease. Further, a second County employee, who held the majority of the knowledge related to MCPFC and the recent changes to the Lease and Debt Issue, the Director of General Services, retired without notice taking with her the details of the latest debt issue and the innerworkings of the MCPFC. During this transition, some of the department's reporting functions have been delayed while the remaining staff try to absorb the additional duties. Had these unfortunate events not taken place, the MCPFC Form 990 would have been filed timely. At this time we have knowledgeable staff assigned to the annual filing and should not face these same issues going forward. Our office has been working overtime in order to overcome these hurdles and have been diligent in documenting and implementing controls to prevent unfortunate circumstances like these in the future. I respectfully request that the late filing of the MCPFC 2022 Form 990 be accepted and any penalties be waived in light of these unforeseen circumstances.
